Replace rooftop exhaust fan

In a strip shopping center or other similar, is it prudent to recommend replacement of the entire unit with roof replacement (if over 15 years old) or what is proper recommendation?

An exhaust fan or HVAC unit?

If it's just an exhaust fan I'd recommend replacment - you can set a new curb. If it's an HVAC unit, how many ton? A 5 ton rooftop HVAC is a lot different than a 75 ton Trane box car.
